Terms of service

Draft of October 30, 2026

Draft: not in effect yet. It will apply once ReplyHawk opens to the public.

These terms are the agreement between legal name of the business ("ReplyHawk", "we") and the business that creates an organization in ReplyHawk ("you"), and also apply to each person who signs in.

Using ReplyHawk

ReplyHawk lets a business's team work together on the Gmail accounts it connects. You must be able to enter into contracts for your business, and you must have the right to connect each Gmail account and calendar you connect.

Owners decide who joins the organization and what each person can see and do. You are responsible for what people in your organization do in ReplyHawk and for keeping sign-in access to their email addresses secure.

Your data

Your email, contacts, calendar and everything your team creates remain yours. You give us permission to process them only to provide ReplyHawk to you, as described in the privacy policy. You can download all of your organization's data and delete the organization at any time.

You can withdraw ReplyHawk's access to a Google account at any time, from ReplyHawk or from your Google account settings.

Acceptable use

You agree not to use ReplyHawk to:

  • send spam or commercial electronic messages that don't comply with Canada's anti-spam legislation (CASL) or the laws where recipients are;
  • break Google's or Gmail's terms and policies;
  • track people in a way the law forbids, or hide that emails are tracked where the law requires you to say so;
  • harass anyone, send unlawful content, or infringe others' rights;
  • try to reach another organization's data, test or bypass ReplyHawk's security without our written permission, or overload the service.

Early access and price

ReplyHawk is in early access. It is provided free of charge for now, and features may change. We'll give owners at least 30 days' notice by email before any fee applies, and you can export your data and leave before then.

Availability and support

We work to keep ReplyHawk available and your data safe, but during early access we don't promise a particular level of availability. Gmail and Google Calendar remain the source of your email and events; if ReplyHawk is unavailable, they still work.

Suspension and ending

You can stop using ReplyHawk at any time by deleting your organization. We may suspend or close an organization that seriously or repeatedly breaks these terms, or if the law requires it; except in urgent cases (security, abuse, legal order) we'll warn you first and give you time to export your data.

Warranties and liability

To the extent the law allows, ReplyHawk is provided "as is", and we are not liable for indirect losses such as lost profits or lost business, or for problems caused by Google, your email recipients or your own systems. Our total liability for any claim is limited to the amounts you paid us in the 12 months before the claim (or 100 CAD if you paid nothing). Nothing in these terms limits rights that cannot be limited by law, including under Québec's Consumer Protection Act where it applies.

Changes to these terms

We'll post changes here with their date and tell owners by email at least 30 days before important changes apply. Continuing to use ReplyHawk after that means you accept them.

Law and language

These terms are governed by the laws of Québec and of Canada that apply there. Any dispute goes before the courts of the judicial district of Montréal, unless the law gives you another choice.

These terms are available in French and English. The parties have required that they be drawn up in English; the French version is provided for convenience. Confirm the language clause with your lawyer.
